Terms of Service

By creating an account or using the Plan with Grace platform (the "Service"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, you may not use the Service.

These Terms form a legally binding agreement between you and Catalyst 17 Inc. ("we," "us," or "our"), a corporation incorporated under the laws of Ontario, Canada. By accepting these Terms, you represent that you are at least 18 years of age and have the legal capacity to enter into this agreement.

Plan with Grace is an AI-powered administrative and logistics support platform designed to help individuals and families navigate the practical tasks that follow the loss of a loved one.

Important limitation: Plan with Grace is an administrative and logistics support platform only. It does not provide legal, medical, financial, or counselling advice. Grace's responses are informational and should not be relied upon as professional advice. You should seek appropriate professional guidance — including from a lawyer, accountant, or mental health professional — for matters that require it.

We reserve the right to suspend or terminate accounts that violate these Terms.

We reserve the right to investigate and take appropriate action against violations of this section, including suspending or terminating accounts.

The Service and its content, features, and functionality — including but not limited to text, graphics, logos, and software — are owned by Catalyst 17 Inc. and are protected by Canadian and international copyright, trademark, and other intellectual property laws.

Your use of the Service does not grant you any ownership rights to the Service or its content. You may not reproduce, distribute, modify, or create derivative works from any part of the Service without our express written permission.

You retain ownership of any content you upload to the Service (such as documents and case information). By uploading content, you grant us a limited licence to process, store, and display that content for the purpose of providing the Service to you.

Certain features of the Service are available on a paid subscription basis. Pricing, billing cycles, and included features are described on our Pricing page and may be updated from time to time.

You may cancel your subscription at any time from your account settings. Cancellations take effect at the end of the current billing period. We do not provide refunds for partial billing periods.

Your use of the Service is also governed by our Privacy Policy, which is incorporated into these Terms by reference. By using the Service, you consent to the collection and use of your information as described in our Privacy Policy.

The Service may integrate with or link to third-party services, websites, or resources. We are not responsible for the content, privacy practices, or terms of any third-party services. Your use of third-party services is at your own risk and subject to the terms and policies of those services.

The Service is provided "as is" and "as available" without warranties of any kind, either express or implied, including but not limited to implied warranties of merchantability, fitness for a particular purpose, or non-infringement.

Grace is an AI assistant. Her responses are generated based on information in our knowledge base and the details you provide. They may not reflect the most current laws or regulations in your jurisdiction, and they are not a substitute for professional advice.

To the fullest extent permitted by applicable law, Catalyst 17 Inc. and its directors, officers, employees, and agents shall not be liable for any indirect, incidental, special, consequential, or punitive damages — including loss of data, loss of revenue, or emotional distress — arising out of or related to your use of the Service.

Our total liability to you for any claim arising out of or related to these Terms or the Service shall not exceed the amount you paid us in the twelve months preceding the event giving rise to the claim, or CAD $100, whichever is greater.

Some jurisdictions do not allow the exclusion of certain warranties or the limitation of liability for certain types of damages. In such jurisdictions, our liability will be limited to the fullest extent permitted by law.

You agree to indemnify, defend, and hold harmless Catalyst 17 Inc. and its officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, and expenses (including reasonable legal fees) arising out of or related to your use of the Service, your violation of these Terms, or your violation of any rights of a third party.

These Terms are governed by and construed in accordance with the laws of the Province of Ontario and the federal laws of Canada applicable therein, without regard to conflict of law principles.

Any dispute arising out of or related to these Terms or the Service shall be subject to the exclusive jurisdiction of the courts of the Province of Ontario. You waive any objection to the exercise of jurisdiction over you by such courts.

We reserve the right to modify these Terms at any time. We will provide notice of material changes by posting the updated Terms on this page and updating the "Last updated" date. We may also notify you by email.

Your continued use of the Service after changes become effective constitutes your acceptance of the revised Terms. If you do not agree to the revised Terms, you must stop using the Service.

We may suspend or terminate your access to the Service at any time, with or without notice, for conduct that we determine violates these Terms or is otherwise harmful to other users, us, or third parties.

You may terminate your account at any time by contacting us at support@planwithgrace.com. Upon termination, your right to use the Service will immediately cease. Provisions of these Terms that by their nature should survive termination — including intellectual property, disclaimers, limitations of liability, and governing law — will survive.
